Job Description

A company providing tailored trust, fiduciary, fund and corporate services, is currently looking for a Corporate Services Manager to join their team.

Job Description

  • Administration of legal structures in various jurisdictions including opening of bank accounts and processing of payment and/or investment instructions
  • Formation and dissolution of legal structures in various jurisdictions including assisting with the preparation and submission of closing documents and ancillary formalities
  • Reviewing corporate governance documents, including minutes and written consents, memorandum & articles, powers of attorney, and similar documents
  • Monitoring document preparation and filings with local authorities in multiple jurisdictions including preparation of registration documentation
  • Assisting with the approval of management accounts, including liaising with auditors and/or third party service providers
  • Assisting with the documentation of commercial transactions, including the drafting of commercial agreements and ancillary documents, preparing summaries of key terms, and tracking the status of negotiations and the performance of contractual terms
  • Monitoring and maintenance of a portfolio of individual clients holding a Malta Residence Permit, including relative statutory filing obligations
  • Handling the more complex legal management and assist the Relationship Officers / Junior Lawyers on your team where required;
  • Monitor progress and assist where required with acquisitions and reorganisations of client companies / structures;
  • Monitor own progress as well as that of your team;
  • Partly responsible for the clients handled by the members of your team;
  • Taking care of the client acceptance and compliance responsibilities for clients;
  • Monitor progress and assist where necessary in the legal review of financial statements;
  • Maintain regular contact with clients and advisors on the progress and developments of relevance and in more complex legal matters for client companies;
  • Maintain and supervise quality legal records and implement Company’s filing procedures;
  • Being able to provide advice in response to questions from staff or the Board in terms of the Company’s services provided;
  • Supporting the accountants in charge of clients on your portfolio with advice on all legal/corporate issues and queries;
  • Acting as the first point of contact concerning corporate matters for clients, shareholders, advisors and other interested parties; supporting Relationship Officers / Junior Lawyers on such matters;
  • Responsible for organisation of work (quality and quantity) within your team, in consultation with your director, so as to make the best possible use of staff capabilities and optimise team performance; and training staff

Experience and qualifications

  • The ideal candidate would be a qualified professional (lawyer / accountant/or any other degree) who worked in a similar role with a CSP, law firm, accounting firm and looking for the opportunity to prove himself / herself.
